Terms of Use

1. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Services. If you use the Services on behalf of a company or other entity, you represent that you are authorized to bind that entity to these Terms.

Paid enrollment in ValorEdge Academy is offered only to residents of the United States. By purchasing, you represent that you are a U.S. resident. We do not market or offer paid enrollment outside the United States, and we may cancel and refund any enrollment we reasonably believe was purchased in breach of this restriction. Free areas of the site, including the Practice Desk simulator and the newsletter, remain open to visitors anywhere.

2. Education only — not financial advice

ValorEdge provides education, training, and mentorship for general informational purposes only. Nothing in the Services is investment, tax, legal, accounting, or financial advice, and nothing is a recommendation or solicitation to buy, sell, or hold any security, derivative, digital asset, or other financial instrument.

ValorEdge is not a registered broker-dealer, investment adviser, or financial planner, and using the Services does not create any advisory, brokerage, or fiduciary relationship. You are solely responsible for your own decisions and for any trading or investing you choose to undertake. Please also read our Disclosures.

3. The Practice Desk simulator

The Practice Desk is a paper-trading simulator that uses virtual currency. No real money, real orders, or brokerage accounts are involved, and no transaction you place in the simulator has any effect in real markets.

Prices, charts, and other market data are supplied by third parties, may be delayed, inaccurate, or unavailable, and are provided "as is." Simulated and hypothetical results have inherent limitations and are not indicative of real trading results. Leaderboards and team competitions are provided for education and engagement only and carry no prize, payout, or other value unless we expressly state otherwise in writing.

4. Accounts

You agree to provide accurate information, to keep your login credentials confidential, and that you are responsible for all activity under your account. Accounts are for a single person and may not be shared, sold, or transferred. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe create risk.

5. Memberships, billing & refunds

Enrollment in the Market Ready course is a single, one-time payment. There is no subscription and no automatic renewal. The price is shown to you before you pay, and you authorize us and our payment processor to charge your selected payment method. You are responsible for any applicable taxes.

ENROLLMENT IS NON-REFUNDABLE ONCE ACCESS TO THE COURSE MATERIAL HAS BEEN ISSUED. Because the Services deliver digital educational content immediately on purchase, and because that content cannot be returned once it has been made available to you, no refund is given after access is granted. This is disclosed on the course page before purchase and you should read it carefully before enrolling. If you have any question about what is included, contact us at members@valoredgeinvesting.com BEFORE you pay, and we will answer it.

Nothing in this section limits any right you may have that cannot be excluded under applicable law. If you believe a charge was made in error, contact us first at members@valoredgeinvesting.com and we will investigate promptly.

Payments are processed by Square, whose own terms and privacy policy apply to the checkout page. We do not receive or store full payment-card numbers.

6. Acceptable use

You agree not to:

• use the Services for any unlawful, fraudulent, or harmful purpose;
• copy, scrape, republish, sell, sublicense, or redistribute any part of the Services or content without our written permission;
• reverse engineer, decompile, or attempt to access source code or non-public systems;
• share, resell, or transfer your account or access credentials;
• interfere with, overload, or disrupt the Services, or introduce malware or harmful code;
• impersonate any person or misrepresent your affiliation; or
• use the Services to provide your own investment advisory, brokerage, or money-management services, or to engage in market manipulation or other unlawful conduct.

7. Intellectual property

All content, courses, software, text, graphics, the ValorEdge name and logos, and other materials in the Services are owned by ValorEdge or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for your own personal, non-commercial educational use. No other rights are granted.

8. Your content

If you submit messages, posts, or other content through the Services, you retain ownership but grant ValorEdge a worldwide, royalty-free license to host, store, and use that content as needed to operate and improve the Services. You are responsible for the content you submit and confirm you have the right to share it.

9. Third-party services

The Services incorporate third-party content and tools, including third-party market data and our payment processor, Square. Charts are rendered by our own first-party charting tools using the open-source KLineCharts library (loaded from the jsDelivr content-delivery network); they set no third-party cookies. Market data is retrieved by our servers from third-party providers (such as Yahoo Finance, CoinGecko, and Finnhub) — your browser does not communicate with these providers directly and no personal data is shared with them. Your use of payment-processor features may be subject to the processor's own terms and privacy policies, and we are not responsible for third-party services or content.

This includes AI features powered by third-party providers such as DeepSeek (operated from China). AI-generated content is produced automatically, may be inaccurate or incomplete, and is provided for educational purposes only; you are responsible for independently verifying it before relying on it.

10. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that any content, data, or result is accurate, complete, or current. Trading and investing involve substantial risk, including the possible loss of principal.

11. Limitation of liability

To the fullest extent permitted by law, ValorEdge and its owners, employees, and affiliates will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any trading, investment, or financial losses, arising out of or relating to the Services or your reliance on any content, even if advised of the possibility. Our total aggregate liability for any claim will not exceed the greater of the amounts you paid us in the 12 months before the claim or USD $100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless ValorEdge and its owners, employees, and affiliates from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, your content, or your violation of these Terms or applicable law.

13. Termination

We may suspend or terminate your access at any time, with or without notice, for any violation of these Terms or to protect the Services or other users. You may stop using the Services at any time. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

14. Governing law & disputes

These Terms are governed by the laws of the United States and the state in which ValorEdge Investing is established, without regard to conflict-of-laws rules. Before filing any formal claim, you agree to first contact us at members@valoredgeinvesting.com and attempt to resolve the dispute informally. Any dispute that cannot be resolved will be subject to the exclusive jurisdiction of the state and federal courts located where ValorEdge is established, unless applicable law requires otherwise.

15. Changes to these Terms

We may update these Terms as the Services evolve. We will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
